(a) Amount Beneficially Owned:

1,487,778 shares of common stock

The number of shares beneficially owned constitutes 1,487,778 shares of common stock.

The number of shares beneficially owned excludes (i) 7,901,180 shares of common stock issuable upon conversion of 564,370 shares of Series E Convertible Preferred Stock, and (ii) 15,000,000 shares of common stock issuable upon conversion of 1,000 shares of Series B Convertible Preferred Stock (collectively, the “Preferred Stock”). The respective Certificates of Designation of the Preferred Stock provide that the holder of shares of the Preferred Stock may not convert any of the Preferred Stock to the extent that such conversion would result in the holder and its affiliates together beneficially owning more than 9.99% of the outstanding shares of common stock, except on 61 days’ prior written notice to the issuer that the holder waives such limitation.

The shares of Common Stock (the “Shares”) reported in this Schedule 13G are held directly by Alpha Credit Resources LLC. Platinum Credit Management LP is the investment manager of Alpha Credit Resources LLC. Mr. Nordlicht is the Chief Investment Officer of Platinum Credit Management LP and has voting and investment control of the Shares held by Alpha Credit Resources LLC. Each of Platinum Credit Management LP and Mr. Nordlicht expressly disclaims beneficial ownership of the Shares held by Alpha Credit Resources LLC.
