On July 17, 2006, the Board of Directors of CB Financial Corporation (“Company”) announced a five percent stock dividend to be issued August 31, 2006 for all shareholders of record as of July 31, 2006. A copy of the press release of the Company is attached hereto as Exhibit 99.1.
