AsItem ~~previously disclosed, on July 14, 2006, the sponsor, Bayview Financial, L~~5.P03. ~~(“BFLP”)~~ ~~received a letter from the Securities and Exchange Commission (the~~Amendments ~~“Commission”) indicating that the staff of the Commission had commenced an~~ ~~inquiry with respect~~ to ~~BFLP.~~Articles ~~On December 21, 2006, the staff~~ of ~~the~~Incorporation ~~Commission notified~~or ~~BFLP~~Bylaws; ~~that~~Change ~~the~~in ~~inquiry~~Fiscal ~~had been concluded, and that the staff will not recommend any enforcement action~~Year.

Reference is made to the pooling and servicing agreement dated as of November 1, 2006 (the “Pooling and Servicing Agreement”), among Bayview Financial Securities Company, LLC, as depositor (the “Depositor”), U.S. Bank National Association, as trustee (the “Trustee”), and Wells Fargo Bank, N.A., as master servicer (the “Master Servicer”), relating to Bayview Financial Mortgage Pass-Through Trust 2006-D Mortgage Pass-Through Certificates, Series 2006-D (the “Trust Fund”). The Pooling and Servicing Agreement was previously filed on Form 8-K on December 29, 2006.

On April 1, 2007, the Depositor, the Trustee and the Master Servicer entered into an amendment to the Pooling and Servicing Agreement (“Amendment No. 1” and, together with the Pooling and Servicing Agreement, the “Agreement”) to correct an error therein in the definition of Targeted Overcollateralization Amount.
