Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On May 24, 2007, CrossPoint Energy Company (“CrossPoint”) entered into a new Employment Agreement (the “New Agreement”) with Jeffrey A. Krakos, its Executive Vice President (“Krakos”), which replaces the previous employment agreement between CrossPoint and Krakos dated November 27, 2006. Under the New Agreement, Krakos will be employed through May 31, 2007, will continue to receive his prior base salary and prior employee benefits and upon termination of his employment on May 31, 2007 and his execution of a release of claims, will receive his salary for one additional month.

The New Agreement is attached hereto as Exhibit 10.1 and incorporated herein.
