Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On June 6, 2007, CrossPoint Energy Company (“CrossPoint”) agreed to pay Margaret R. Coughlin, the CrossPoint Controller, Principal Financial Officer and Secretary, a retention bonus of $25,000 in consideration of retaining her services until her previously announced resignation effective July 23, 2007.
