Item 8.01 Other Events

On June 8, 2007, Maxco, Inc. issued a press release announcing the filing of a Form 15 with the Securities and Exchange Commission (the “SEC”). Maxco filed the Form 15 with the SEC in order to effect a termination of registration of its common stock and Series Three preferred stock under the Securities Exchange Act of 1934. The press release is included herewith as Exhibit 99.1 and is incorporated herein by reference.
