Item 4.01

Changes in Registrant’s Certifying Accountant.

On July 30, 2007, Imowitz Koenig & Co., LLP (the “Former Accountant”) notified Pure Vanilla eXchange, Inc. (the “Company”) that the Former Accountant declines to stand for reappointment as the Company’s principal accountant. The Former Accountant’s audit reports on the Company’s financial statements for the years ended December 31, 2006 and 2005 did not contain an adverse opinion or disclaimer of opinion, nor were they modified as to uncertainty, audit scope, or accounting principles, except that the Former Auditor’s report on the Company’s financial statements for each of the fiscal years ended December 31, 2006 and 2005 included an explanatory paragraph describing the uncertainty as to the Company's ability to continue as a going concern. During the years ended December 31, 2006 and 2005, and through the interim period ended July 30, 2007, there was no disagreement between the Company and the Former Accountant that would be required to be disclosed under Item 304(a)(1)(iv)(A) of Regulation S-B. During the years ended December 31, 2006 and 2005 and through the interim period ended July 30, 2007, the Former Accountant did not advise the Company with respect to any of the matters described in Item 304(a)(1)(iv)(B) of Regulation S-B.

On August 13, 2007, the Company provided the Former Accountant with the disclosures set forth under this Item 4.01 and requested in writing that the Former Accountant furnish the Company with a letter addressed to the Securities and Exchange Commission (the “Commission”) stating whether or not they agree with such disclosures. A copy of the letter delivered to the Company by the Former Accountant in response to the Company’s request is attached hereto as Exhibit 16.1.

Item 5.02

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

On July 20, 2007, George W. Benedict and Thomas R. Fanning resigned as members of the Company’s board of directors effective immediately. Neither Mr. Benedict’s nor Mr. Fanning’s resignation was the result of a disagreement with management regarding the operations, policies or practices of the Company.

On July 23, 2007, John Cook resigned as the Company’s principal accounting officer effective immediately. Mr. Cook’s resignation was not the result of a disagreement with management regarding the operations, policies or practices of the Company. The Company hired Joseph Schmidt to serve as its Controller effective upon Mr. Cook’s resignation.
