Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 13, 2007, J.W. Brown, a director of CrossPoint Energy Company (“CrossPoint”), announced his resignation from the Board of Directors effective on September 14, 2007. Mr. Brown resigned for personal reasons, and such resignation was not the result of a disagreement with CrossPoint or any member of the management or the Board of Directors of CrossPoint.
