Departure of Directors of Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 9, 2009, Mr. Ronald W. Pickett submitted his resignation as president and a director of the corporation.

On January 9, 2009, Mr. Thomas M. Hall submitted his resignation as a director of the corporation.

These resignations were not a result of any disagreement with the company or its management.
