Item 2.

(a) Name of Person Filing: This joint statement on Schedule 13G is being filed by Peter Kolchinsky, RA Capital Management, LLC, RA Capital Healthcare Fund, L.P. and RA Capital Healthcare Fund II, L.P., who are collectively referred to herein as the “Reporting Persons.” Mr. Kolchinsky (the “Manager”) is the manager of RA Capital Management, LLC (“Capital”), which is the sole general partner of each of RA Capital Healthcare Fund, L.P. (“Fund I”) and RA Capital Healthcare Fund II, L.P. (“Fund II”). The Reporting Persons have entered into a Joint Filing Agreement, dated as of the date hereof, a copy of which is filed with this Schedule 13G as Exhibit 1 (which is incorporated herein by reference), pursuant to which the Reporting Persons have agreed to file this statement jointly in accordance with the provisions of Rule 13d-1(k) under the Act.

(b) Address of Principal Business Office: The principal business office of the Reporting Persons with respect to the shares reported hereunder is 800 Boylston Street, Suite 1500, Boston, MA 02199.

(c) Citizenship: Capital is a Massachusetts limited liability company. Each of Fund I and Fund II is a Delaware limited partnership. The Manager is a U.S. citizen.

As reported in the Form 8-K of CytRx Corporation (“CytRx”) dated September 19, 2008, a merger of a wholly-owned subsidiary of CytRx with and into the Issuer (the “Merger”) was completed on September 19, 2008. As a result of the Merger, in exchange for shares of the Issuer’s Common Stock held by the Reporting Persons, the Reporting Persons received shares of CytRx common stock, plus contingent consideration which will be paid in shares of CytRx common stock, cash or a combination of common stock and cash, at CytRx’s election. Upon completion of the Merger, some unexercised warrants for the purchase of the Issuer’s Common Stock were canceled and other warrants remained outstanding with the holders of such warrants having the right to purchase and receive Merger Consideration.

As a result of the Merger, the Reporting Persons’ beneficial ownership in the Issuer was reduced to 0 shares of the Issuer’s Common Stock.
