ITEM 3.02. UNREGISTERED SALES OF EQUITY SECURITIES

ecoSolutions Intl, a Nevada corporation (the “Company”), recently issued and sold shares of its common stock, $0.001 par value per share (“Common Stock”), as further described below. The following sales of securities were effected in reliance on the exemption from registration contained in Section 4(2) of the Securities Act of 1933 (as amended) and Regulation D promulgated thereunder.

On March 18, 2009, the Company issued 1,000,000 shares of Common Stock in connection with services rendered to the Company by a consultant for aggregate proceeds to the Company of $0;

On March 19, 2009, the Company issued 25,000 shares of Common Stock in connection with services rendered to the Company by an investment-banking firm for aggregate proceeds to the Company of $0;

On March 31, 2009, the Company issued 50,000 shares of Common Stock in connection with the cashless exercise of a non-employee stock option, at a per share exercise price of $0.16, for aggregate proceeds to the Company of $8,000; and

On April 16, 2009, the Company issued 500,000 shares of Common Stock in connection with services rendered to the Company by certain consultants for aggregate proceeds to the Company of $0.
