This Amendment to the Current Report on Form 8-K filed by Qnective, Inc. with the Securities and Exchange Commission on July 27, 2009 is being filed to correct an error in the exhibit filed with such Form 8-K. Although Item 9.01(d) correctly listed only one exhibit, the exhibit was inadvertently broken up into two exhibits when filed. The single exhibit is attached as Exhibit 10.1 hereto.
