Item 1.01

Entry into a Material Definitive Agreement.

As previously disclosed in the filings of ClearPoint Business Resources, Inc. (the “Company”) with the Securities and Exchange Commission, on August 14, 2009, the Company entered into an Amended and Restated Revolving Credit Agreement (the “Loan Agreement”) with ComVest Capital, LLC (“ComVest”). The Loan Agreement provided that the Company’s Board of Directors (the “Board”) should, on or prior to September 28, 2009, include two (2) members designated by ComVest, each to be placed within separate classes of the Board and each of whom will be unaffiliated with and independent of ComVest.

On October 7, 2009, the Company and ComVest entered into a Letter Amendment (the “Amendment”) to the Loan Agreement pursuant to which the parties agreed to extend the Company’s obligation to have such directors serve on the Board until December 27, 2009.
