Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 8, 2009, Advanced Medical Institute Inc. (the “Company”) received notification from Mr. Anatoly Fanshil and Mr. Spiro Baramalis that effective immediately, they have resigned as directors of the Company. There were no disagreements between either Mr. Fanshil and the Company or Mr. Baramalis and the Company on any matter relating to the Company’s operations, policies or practices, that resulted in their resignation.
