Item 8.01 Other Events.

On August 30, 2010, CoSine Communications, Inc. issued a press release announcing its plan to deregister its common stock under the Securities Exchange Act of 1934, as amended, and terminate its periodic reporting obligations with the Securities and Exchange Commission. The full text of the press release is attached as Exhibit 99.1 to this Current Report.
