Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 21, 2010, the Board of Directors of the Platinum Energy Resources (the “Company”) appointed Martin Walrath as Acting CEO of the Company to assume the duties of Mr. Rahmani who is currently on medical leave. The Board of Directors also appointed Mr. Walrath as an Executive Vice President of the Company’s wholly owned subsidiary, Maverick Engineering, Inc.

Mr. Walrath (57) has been on the Board of the Company since October 7, 2010 and has been with Triple Five since 1989. Mr. Walrath has been primarily responsible for the financing activities and banking relationships of Triple Five. Before joining Triple Five, Mr. Walrath was Senior Vice President at Mellon Bank. Mr. Walrath is also Director of Peoples Trust Bank, the largest privately held financial institution in Canada.
