As of the date of this filing, Way is deemed to beneficially own an aggregate of 3,263,990 shares of Common Stock of the Issuer (the “Way Shares”). Way has sole power to direct the vote and to direct the disposition of the Way Shares.

The Way Shares represent approximately 7.3% of the Issuer’s Common Stock, based on 44,837,723 issued and outstanding shares of Common Stock of the Issuer as of November 14, 2017, as reflected in the amended Schedule 14A filed by the Company with the Securities and Exchange Commission on December 1, 2017.
