~~Emerging~~As ~~growth~~described ~~company ¨~~in the Form 8-K dated April 30, 2018, Uniprop Manufactured Housing Communities Income Fund II (the “Fund”) entered into a Contract for the Sale of Real and Personal Property of West Valley, located in Las Vegas, Nevada; West Valley was the last remaining property owned by the Fund.

~~ITEM~~Net ~~1.01~~sales ~~MATERIAL~~proceeds ~~DEFINITIVE~~were ~~AGREEMENT~~approximately $29 million after closing costs, legal fees, mortgage loan repayment and related defeasance charges, and standard pro-rations for rents, security deposits, and ad valorem taxes.

~~Uniprop~~Management ~~Manufactured~~plans ~~Housing~~to ~~Communities~~distribute $8.00 per unit or approximately ~~Income~~$26.4 ~~Fund~~million IIon (or about September 15, 2018. The remaining funds will be retained in reserve for various contingencies including, but not limited to, the 60 day “true up” period for the sale of West Valley and the planned winding down of the affairs of the Fund”), ~~currently~~now ~~owns~~that ~~one~~the ~~manufactured~~sole ~~housing~~remaining ~~community~~Property ~~located~~has inbeen ~~Nevada~~divested.

~~On April 27, 2018, the Fund entered into a Contract for the Purchase and Sale of all the Real and Personal Property of West Valley, located in Las Vegas, NV, with a Buyer (“Buyer”).~~SIGNATURES

OnPursuant ~~July 31, 2018, the Fund and Buyer executed an Amendment~~ to the ~~Purchase~~requirements ~~and Sale Agreement which allowed for the release~~ of the $2Securities ~~million~~Exchange ~~earnest money deposit held in escrow~~Act ~~with the Title Company to the seller. In addition, the closing date shall be amended to August 15, 2018, with the Buyer remitting an extension fee~~ of ~~$100~~1934,~~000~~ ~~which will not be applied nor credited to~~ the ~~Purchase~~registrant ~~Price.~~has ~~Lastly,~~duly ifcaused ~~the~~this ~~Buyer~~report ~~cannot meet the terms of the August 15, 2018 extension and wishes~~ to ~~extend~~be ~~the~~signed ~~closing~~on ~~date~~its tobehalf ~~August~~by ~~22, 2018,~~ the ~~Buyer~~undersigned ~~must~~hereunto ~~remit~~duly ~~an additional $100,000 extension fee which will not be applied nor credited to the Purchase Price~~authorized.

The Amendment to the Contract was unanimously approved by the Board of Directors.
