Explanation of Responses:

On July 19, 2002, TD Global Finance acquired shares, and warrants exercisable for shares, of common stock, par value $0.001 per share, ("Common Stock") of Terremark Worldwide, Inc. ("Terremark"). In connection with this acquisition, TD Global Finance filed a Form 3 with the Securities and Exchange Commission on July 26, 2002 in which it reported beneficial ownership of approximately 10.4% of Terremark's outstanding Common Stock as of such date. Subsequent to the filing, Terremark issued additional shares of Common Stock resulting in a decrease in TD Global Finance's beneficial interest to below 10.0%. TD Global Finance did not engage in any transactions, reportable or otherwise, in Common Stock, or warrants exercisable for Common Stock, of Terremark while its beneficial interest was 10.0% or greater.
