Item 2.02 Results of Operations and Financial Condition

On March 27, 2012, Sound Financial, Inc.(the “Company”) issued a press release revising its previously reported financial results for the year ending December 31, 2011. The Company also announced that the Office of the Comptroller of the Currency terminated its Memorandum of Understanding with its wholly-owned subsidiary, Sound Community Bank. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
