Item 1. Security and Issuer

This Schedule 13D relates to "Series A" Preferred Convertible Stock, zero par value per share ("Preferred Stock"), of Adair International Oil and Gas, Inc. (the "Issuer"). The principal executive offices of the Issuer are located at 2425 Fountainview Dr., Suite 215, Houston, TX 77057.

(d and e) During the last five years, dB, LLC has not been

(i) convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors); or

(ii) a party to a civil proceeding of a judicial or administrative body of competent jurisdiction and as a result of such proceeding was or is subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, Federal or State securities laws or finding any violation with respect to such laws.

The principle business address of dB, LLC, a Texas limited liability corporation, is 4849 Greenville Ave., Suite 1150, Dallas, Texas 75206 and its primary business purpose is geological and geophysical consulting services.

Item 3. Source and Amount of Funds or Other Consideration

Payment of outstanding debt obligation in the amount of $446,969 by the Issuer to dB, LLC.

The issuer had an outstanding obligation pursuant to the terms of the merger agreement between PIE, Inc. and Adair International Oil and Gas, Inc. This debt obligation on behalf of the Issuer has been assumed by dB, LLC in consideration for the subject shares of Preferred stock. The Board of Directors of the Issuer signed a unanimous resolution approving this transaction and setting the value of the Preferred shares at $1.00/share.

Item 4. Purpose of the Transaction

The purpose of this transaction is to reduce the debt obligations of the Issuer.

Item 5. Interest in Securities of Issuer

(a) As of the date hereof, dB, LLC holds 446,969 shares of Series A Convertible Preferred Stock which represents 28.4% of the total number of Preferred shares outstanding (1,571,282 shares). These Preferred shares are convertible at the option of the holder and at such time as a sufficient number of authorized common shares are available from the issuer. The Preferred shares are convertible into shares of Common Stock on a 1:1000 basis, subject to adjustment for stock splits, consolidations and stock dividends.

The Preferred Stock votes on an "as-converted" basis with the Common Stock (conversion ratio of 1000:1) therefore, 446,969 shares of Preferred Stock vote as 446,969,000 shares of Common Stock.

446,969 shares of Preferred Stock which are convertible to 446,969,000 shares of Common Stock, which are currently convertible at the option of the holder and at such time as a sufficient number of authorized common shares are available from the Issuer.
