The shares of the Issuer which are the subject of this SCHEDULE 13G/A (the “Shares”) are held by the Mangrove Partners Master Fund, Ltd., a Cayman Islands limited liability company (“Master Fund”). Beneficial ownership of the Shares is claimed by (i) Mangrove Partners IM, LLC which serves as the investment manager of the Master Fund, and (ii) Nathaniel August who is the president of Mangrove Partners IM, LLC.

The amount beneficially owned by each Reporting Person is determined based on the sum of 8,471,283 Shares outstanding as of August 14, 2024, as the Issuer reported in its 10-Q, filed with the SEC on August 14, 2024.

The filing of this SCHEDULE 13G/A shall not be construed as an admission that the Reporting Persons are, for purposes of Section 13(d) of the Securities Exchange Act of 1934, as amended, the beneficial owners of any of the Shares reported herein. Each of the Reporting Persons specifically disclaims beneficial ownership of the Shares reported herein that are not directly owned by such Reporting Person.
