Item 5.02	Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers

Effective August 13, 2012, Mr. Craig Dalton Thomas resigned as director of our company. Mr. Thomas’ resignation was not the result of any disagreements with our company regarding our operations, policies, practices or otherwise.

Also effective August 13, 2012, we decreased the number of directors on our board of directors to one. Our board of directors now consists of Mr. Hugh Aird.
