SHAREHOLDERS MEETING'S RESULTS

On July 12, 2023, Senstar Technologies Ltd. (“we,” or the “Company”) held a Special General Meeting of Shareholders (the “Meeting”) at the Company’s offices located at 7 Menachem Begin Rd., Ramat Gan, Israel. At the Meeting, our shareholders approved the following resolutions:

(1)

To ratify and approve Mr. Amit Ben-Zvi’s appointment as director for term expiring at our 2023 Annual General Meeting of Shareholders.

(2)

To re-approve the compensation of the Company's directors associated with the controlling shareholder including but not limited to: (1) terms of employment of the chairman of the board; and (2) the issuance and delivery of indemnification letters;

(3)

Approval of the Company's amended and restated Articles of Association.

Only shareholders of record, as of the close of business on June 14, 2023, were entitled to vote at the meeting.

All resolutions were approved by the majority requirements under Israel’s Companies Law, 5759-1999.
