Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On January 31, 2006, Conor Medsystems, Inc. (the "Company") filed a Current Report on Form 8-K (the "Form 8-K") to report that Steven B. Gerber, M.D. was elected to the Company's Board of Directors effective as of January 27, 2006. This amendment to the Form 8-K is being filed to report that Dr. Gerber was appointed to the Audit Committee of the Company's Board of Directors effective February 10, 2006.
