Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 16, 2009, Jack Price notified NovaRay Medical, Inc. (the "Company") of his resignation from the Company's Board of Directors (the "Board") effective December 31, 2009 or sooner depending on the preference of the Board. At the time of his resignation, Mr. Price did not serve on any committees of the Board. Mr. Price's resignation was not caused by any disagreement with the Company.
