Item 8.01. Other Events

On January 3, 2012, First Century Bankshares, Inc., the "Company", issued a press release announcing the appointment of Michael R. Shott as Chairman of the Board of Directors of the Company and of First Century Bank, the "Bank". The press release also announced the selection of three new members to the Bank's Board of Directors. The press release is attached as Exhibit 99.1 to this Form 8-K filing.
