Item 2.02. Results of Operations and Financial Condition

On April 27, 2011, First Century Bankshares, Inc. ("First Century") issued a News Release announcing its earnings for the three-month period ended March 31, 2012. This News Release is furnished as Exhibit 99.1 and is incorporated herein by reference.

Item 8.01. Other Events

Included in the News Release of April 27, 2012, First Century announced the declaration of the first quarter 2012 dividend. At the meeting of the Board of Directors on April 24, 2012, the board declared a cash dividend of $0.16 per common share. This represents an increase of 6.67% in the regular dividend which had been $0.15 per common share. The dividend is payable to shareholders of record May 8, 2012, and is expected to be paid on or about May 18, 2012.
