The information specified in (b) and (c) of Item 2 is given with respect to Robert E. McDonough. Because Robert E. McDonough is the trustee of the Trust, the information specified in (b) and (c) is also applicable with respect to the Trust.

McDonough beneficially owns 2,033,200 shares of Class A Common Stock, consisting of 2,000,000 shares of Class A Common Stock held by the Trust and 33,200 shares of Class A Common Stock held by Robert E. McDonough, which includes 30,000 shares issuable upon exercise of vested stock options. As trustee of the Trust, the Robert E. McDonough has the sole power to vote and direct the vote of these shares of Class A Common Stock.
