Item 8.01 – Other events

On August 31, 2004, Environmental Elements Corporation issued a press release announcing that it had received a waiver from its Bank of a covenant default that existed as a result of the operating loss that the Company reported for its quarter ended June 30, 2004. A copy of the press release is attached hereto as Exhibit 99.
