7.01. Regulation FD Disclosure.

On February 24, 2005, Vicuron Pharmaceuticals Inc. (the “Company”) issued a press release after receiving correspondence from the U.S. Food and Drug Administration (“FDA”). The full text of the press release is attached as Exhibit 99.1 to this Current Report.

The information furnished under Item 7.01 of this Current Report on Form 8-K, including Exhibit 99.1, shall not be deemed to be “filed” for purposes of section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liabilities of that section.

Item 8.01. Other Events.

On February 24, 2005, the Company announced that it has received the acceptance to file notification and been granted priority review status by the FDA for the Company’s New Drug Application (“NDA”) for dalbavancin, a novel antibiotic for the treatment of complicated skin and soft tissue infection.
