ITEM 2.01 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On March 11, 2005, Integrity Financial Corporation (the “Registrant”) announced its financial results for the year ended December 31, 2004. For the year ended December 31, 2004, the Registrant reported unaudited net income of $1.3 million representing diluted earnings per share of $0.27.

A copy of the press release (the “Press Release”) announcing the Registrant’s results for the year ended December 31, 2004 is attached hereto as Exhibit 99.1 and incorporated by reference herein.
