ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On May 2, 2005, Integrity Financial Corporation (the “Registrant”) announced financial results for the first quarter ended March 31, 2005. For the first quarter, the Registrant reported net income of $1.7 million and diluted earnings-per-share of $0.33. A copy of the press release (the “Press Release”) announcing the Registrant’s results for the first quarter ended March 31, 2005, including a table of selected financial information, is attached hereto as Exhibit 99.1 and incorporated by reference herein.
