Item 7.01.

Regulation FD Disclosure.

On May 6, 2008, First Georgia Community Corp. (the “Company”) notified the trustee under its trust preferred securities that the Company was exercising its right to defer interest payments with respect to the trust preferred securities. Under the terms of the trust preferred securities, the Company can defer interest payments for up to five years.

The information furnished pursuant to Item 7.01 of this Current Report on Form 8-K shall not be deemed “filed” for purposes of the Securities Exchange Act of 1934, as amended, nor shall it be incorporated by reference into any of the Company’s filings under the Securities Act of 1933, as amended, unless otherwise expressly stated in such filing.
