Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On July 12, 2010, Crescent Banking Company (the “Company”) issued a press release announcing that it has notified The Nasdaq Stock Market (“Nasdaq”) of its intent to file a Form 25 with the Securities and Exchange Commission and to cease trading its common stock on Nasdaq, effective July 22, 2010.

The Company received a letter from the Nasdaq Listing Qualifications Department of Nasdaq on April 12, 2010, notifying the Company of its failure to meet the minimum requirements of Nasdaq’s Equity Standard Listing Rule 5550(b) (the “ Listing Rule”) to maintain a minimum of $2,500,000 in stockholders’ equity, $35,000,000 market value of listed securities, or $500,000 of net income from continuing operations for the most recently completed fiscal year or two of the three most recently completed fiscal years. To date, the Company has been unable to meet the minimum requirements of the Listing Rule; consequently, the Company has decided to file a Form 25 to delist its common stock from Nasdaq.
