Results of Operations and Financial Condition

On December 17, 2010, Sensus (Bermuda 2) Ltd. (the “Company”) issued a press release setting forth certain financial results of the Company for the fiscal quarter ended September 30, 2010. A copy of the press release is furnished as Exhibit 99.1 hereto.
