Other Events

On June 27, 2011, Naugatuck Valley Financial Corporation (the “Company”) announced the results of the stock offering conducted in connection with the “second step” conversion of its mutual holding company parent, Naugatuck Valley Mutual Holding Company. The closing of the conversion and offering, which is expected to occur on June 29, 2011, is subject to the satisfaction of customary closing conditions.
