ITEM 8 1.01. ENTRY ~~Other~~INTO ~~Events.~~A MATERIAL DEFINITIVE AGREEMENT

On October 2011, ~~2010~~2011, ~~the~~Northland ~~District~~Cable ~~Court,~~Properties ~~for~~Seven ~~the~~Limited ~~City~~Partnership ~~and Count of Denver~~ (the “~~District Court~~Partnership”)~~, acted~~ onexecuted ~~the~~a ~~Colorado~~purchase ~~Court of Appeals’ instructions~~ and ~~vacated~~sale agreement (the ~~preliminary~~“Agreement”) ~~injunction originally~~to ~~granted~~sell by the ~~District~~operating ~~Court~~assets ~~which~~and ~~enjoined~~franchise ~~Northland~~rights ~~Cable~~of ~~Properties~~its ~~Seven~~cable ~~Limited Partnership~~systems ~~(“NCP-Seven”)~~in ~~from~~and ~~terminating~~around the ~~asset~~community ~~purchase agreement dated as~~ of ~~July 5~~Sandersville, ~~2007 (the~~Georgia ~~“Agreement”)~~to ~~between~~Charter ~~NCP-Seven and Green River Media and~~ Communications, LLC (“~~Green River~~Purchaser”), an unaffiliated third party. AsThe atransaction ~~result~~is ofexpected ~~the~~to ~~District~~close ~~Court’s~~by ~~actions,~~ the ~~Agreement~~end ~~is terminated.~~of ~~The~~March 2012, ~~timing~~ and ~~ultimate~~is ~~disposition~~subject ofto ~~the~~customary ~~litigation~~closing ~~with~~conditions ~~Green~~and ~~River, including~~ the ~~awarding~~approval of ~~damages,~~a ~~attorneys’~~majority ~~fees~~in orinterest of the ~~earnest~~Partnership’s ~~money~~limited ~~deposit, are unknown at this time~~partners.

~~NCP-Seven~~The ~~will~~terms ~~continue~~of the Agreement include a base purchase price of $3,000,000 (the “Purchase Price”), subject to ~~operate~~adjustments ~~its~~and ~~assets~~prorations inof revenues, aexpenses ~~manner~~and ~~intended~~liabilities at closing, and require that $300,000 of the gross proceeds be placed in escrow to ~~maximize~~secure ~~revenue~~compliance with representations and ~~cash~~warranties, to be released to the Partnership eighteen months from the closing of the ~~flow~~transaction. ~~NCP-Seven~~Upon ~~expects~~execution of the Agreement, the Purchaser shall make a cash payment of $150,000 (“Initial Payment”) to ~~place~~the ~~its~~Partnership. ~~operating~~At ~~assets~~closing, the Initial Payment together with interest at the rate of 0.5% per annum shall be credited against the Purchase Price. The Initial Payment shall be used by the Partnership solely to pay expenses that ~~were~~the Partnership will incur to obtain the ~~subject~~approval of the ~~Agreement~~Partnership’s ~~back~~limited partners and a third party fairness opinion in onpreparation for closing. Net proceeds to be received upon closing will be used to make distributions to the ~~market~~limited ~~for~~partners. ~~sale~~Limited ~~during~~partners will receive a final distribution approximately eighteen months from the ~~first~~closing ~~quarter~~date when the escrow proceeds are released. As of June 30, 2011, ~~although~~the noSandersville ~~assurance~~system ~~can~~served beapproximately ~~given~~1,980 ~~that~~video subscribers or approximately 20.9% of the Partnership’s total video subscribers. For the six months ended June 30, 2011, the system ~~such~~represented aapproximately ~~transaction~~21.1% ~~will~~of bethe ~~consummated~~Partnership’s total revenues and generated operating income before depreciation and gain on disposal of assets of approximately $279,000.
