OnItem ~~April 17, 2012, Northland Cable Properties Seven Limited Partnership (the “NCP-Seven”) held a Special Meeting of Limited Partners (the “Special Meeting”)~~2. As of February 10, 2012, the record date for the Special Meeting, there were approximately 49,656 units of limited partnership interest outstanding and entitled to vote at the Special Meeting, and a total of 36,16501.~~8977 (or~~ ~~approximately~~Disposition ~~73%)~~ of ~~the Company’s units of limited partnership interests outstanding and entitled to be voted at the Special Meeting were represented in person or by proxy at the Special Meeting.~~ Assets

~~Set~~On ~~forth~~April 23, ~~below~~2012, isNorthland Cable Properties Seven Limited Partnership (the ~~proposal~~“Partnership”) oncompleted the sale of the operating assets and franchise rights of its cable systems in and around the community of Sandersville, Georgia to Charter Communications, LLC (“Charter”), an unaffiliated third party. The Sandersville System was sold at a price of approximately $3,000,000, of which the ~~Company’s~~Partnership ~~limited~~received ~~partners~~approximately $2,573,000 ~~voted~~at closing. The sales price was adjusted at closing for the ~~Special~~proration ~~Meeting~~of certain revenues and expenses and approximately $300,000 will be held in escrow and released to the ~~final~~Partnership ~~voting~~eighteen ~~results~~months from the closing of the transaction subject to indemnification claims made, if any, by the buyer pursuant to the terms of the purchase and sale agreement. Net proceeds to be received upon closing will be used to make distributions to the limited partners. Limited partners will receive a final distribution approximately eighteen months from the ~~Special~~closing ~~Meeting:~~date when the escrow proceeds are released.

~~Proposal:~~The Sandersville System represents approximately 1,950 basic subscribers or approximately 21% of the Partnership’s total basic subscribers served. For the three months ended March 31, 2012, the Sandersville System represented approximately 21% of the Partnership’s total revenues and approximately 25% of the Partnership’s income from operations before depreciation and loss on dispoisal of assets. The sale was made pursuant to an offer by Charter, which was formalized in a Purchase and Sale Agreement dated October 12, 2011.

To authorize NCP-Seven and its managing general partner to sell one or more of NCP-Seven’s cable systems up to and including the sale of substantially all of NCP-Seven’s assets for cash in the aggregate amount of $17,300,000, subject to adjustment as provided in each of the respective asset purchase agreements, to the following purchasers: Northland Cable Television Inc., an affiliate of the managing general partner of NCP-Seven, Charter Communications, LLC, a Delaware limited liability company, and TruVista Communications of Georgia, LLC, a Georgia limited liability company, as described in NCP-Seven’s Proxy Statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on February 16, 2012, and to take any and all steps necessary to complete such sale.
