Item 2.01.

Disposition of Assets

On ~~April~~May 279, 2012, Northland Cable Properties Seven Limited Partnership (the “Partnership”) completed the sale of the operating assets and franchise rights of its cable systems in and ~~around~~ around the community of ~~Toccoa~~Vidalia, Georgia to ~~TruVista~~Northland ~~Communications~~Cable ~~of Georgia~~Television, ~~LLC~~Inc. (“~~TruVista~~the Purchaser”), an ~~unaffiliated~~affiliate ~~third~~of ~~party~~Northland Communications Corporation, the manageing general partner of the Partnership. The ~~Toccoa~~Vidalia System was sold at a price of ~~approximately~~ $85,~~900~~400,000, of which the Partnership received approximately $75,~~799~~008,000 at closing. The sales price was adjusted at closing for the proration of certain revenues and expenses and approximately $~~890~~432,000 will be held in escrow and released to the Partnership ~~eighteen~~twelve months from the closing of the transaction subject to indemnification claims made, if any, by the buyer pursuant to the terms of the purchase and sale agreement. Net proceeds to be received upon closing will be used to make distributions to the limited partners. Limited partners will receive a final distribution approximately ~~eighteen~~twelve months from the closing date when the escrow proceeds are released.

The ~~Toccoa~~Vidalia System represents approximately 43,~~090~~208 basic subscribers or approximately 4434% of the Partnership’s total basic ~~subscribers~~ subscribers served. For the three months ended March 31, 2012, the ~~Toccoa~~Vidalia System represented approximately 4435% of the Partnership’s total revenues and approximately 3143% of the Partnership’s income from operations before depreciation and loss on ~~dispoisal~~ disposal of assets. The sale was made pursuant to an offer by ~~TruVista~~the Purchaser, which was formalized in a Purchase and Sale Agreement dated October 1421, 2011.

The sale of the Partnership’s assets pursuant to the aforementioned purchase and sale agreement represents the sale of substantially all of the Partnership’s assets. Pursuant to the terms of the partnership agreement, the Partnership will be dissolved and the managing general partner will wind up the business and affairs of the Partnership.
