Item 8.01

Other Events.

On November 12, 2013, First Regional Bancorp (the “Company”) filed its monthly operating report for the period beginning October 1, 2013 and ending October 31, 2013 (the “October Report”) with the United States Bankruptcy Court for the Central District of California (the “Bankruptcy Court”). The October Report is attached to this Current Report on Form 8-K as Exhibit 99.1 and incorporated by reference herein.

Cautionary Statements Regarding October Report

The October Report is limited in scope, covers only a one-month time period and has been prepared solely for the purpose of the Company’s compliance with the monthly reporting requirements of the Bankruptcy Court.
