Other Events

On May 29, 2015, Tops Holding LLC and Tops Markets II Corporation issued a press release announcing that they priced their $560 million in aggregate principal amount of senior secured notes due 2022 (the “Notes”). The Notes were offered pursuant to an exemption from registration under the Securities Act of 1933, as amended. The offering of the Notes is expected to close on June 10, 2015, subject to certain closing conditions. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
