This Amendment No. 2 to the Schedule 13G filed on February 5, 2015 (as amended by Amendment No. 1 thereto filed on February 2, 2016) is being filed on behalf of BlueMountain Capital Management, LLC (“BMCM” or the “Reporting Person”), with respect to the shares of Class A Common Stock, $0.0001 par value per share (the “Common Stock”) of Yatra USA Corp. (f/k/a Terrapin 3 Acquisition Corporation), a Delaware corporation.

BMCM acts as investment manager to, and exercises investment discretion with respect to the Common Stock directly owned by, certain private funds that previously owned shares of Common Stock.

The filing of this statement should not be construed as an admission that the Reporting Person is, for the purpose of Section 13 of the Act, the beneficial owner of the Common Stock reported herein.
