Explanatory Note

This Amendment No. 2 (this “Amendment”) amends the initial Statement on Schedule 13D filed on September 4, 2007 and Amendment No. 1 thereto (collectively, the “Schedule 13D”). Except as otherwise set forth herein, this Amendment does not modify any of the information previously reported in the Schedule 13D.

Item 4.

Purpose of Transaction.

Item 4 of the Schedule 13D is hereby amended and supplemented by the addition of the following:

On May 12, 2017 a total of 7,591,605 shares were tendered into and disposed of upon the closing of the tender offer initiated by Eagle Acquisition Corp. (“Purchaser”) pursuant to the Agreement and Plan of Merger by and among MaxLinear, Inc. (“MaxLinear”), Purchaser (a wholly owned subsidiary of MaxLinear), and Issuer, dated as of March 28, 2017, whereby Purchaser offered to purchase each outstanding share of common stock of the Issuer for a cash payment of $13.00 per share.
