On November 26, 2017, the Issuer entered into an Agreement and Plan of Merger (the “Merger Agreement”) with Project Deep Blue Holdings, LLC, a Delaware limited liability company (“Newco”) and Project Deep Blue Merger Corp., a Delaware corporation and wholly owned subsidiary of Newco. Pursuant to the Merger Agreement, on February 12, 2018, each share of Issuer common stock was cancelled and converted into the right to receive $27.55 per share in cash, without interest and less any applicable withholding taxes.
