On June 24, 2019, Rudolph Technologies, Inc., a Delaware corporation (“Rudolph”) and Nanometrics Incorporated, a Delaware corporation (“Nanometrics”), hosted a joint conference call with Rudolph’s and Nanometrics’ investors to discuss the proposed merger of the two companies that was announced earlier that day. A copy of the transcript is attached hereto as Exhibit 99.1 and incorporated into this Item 8.01 by reference.
