Item 2.02.

Results of Operations and Financial Condition.

On August 5, 2019, Amplify Energy Corp., a Delaware corporation (the “Company”), issued a press release reporting the Company’s financial and operating results for the first quarter ended June 30, 2019. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

On August 5, 2019, the Company issued a press release announcing, among other things, its updated 2019 guidance and an update on the Company’s merger with Midstates Petroleum Company, Inc., which will close on August 6, 2019.
