Item 1. Security of the Issuer.

This Amendment No. 10 amends the Schedule 13D filed with the Securities Exchange Commission (the “SEC”) on August 8, 2016 (as amended, the “Schedule 13D”), relating to the shares of Common Stock, par value $0.0001 per share (the “Common Stock”), of SAExploration Holdings, Inc., a Delaware corporation (the “Issuer”). The Issuer’s principal executive office is located at 1160 Dairy Ashford Rd., Suite 160, Houston, Texas 77079. Unless specifically amended hereby, the disclosures set forth in the Schedule 13D remain unchanged.

Item 4. Purpose of Transaction.

Item 4 of the Schedule 13D is hereby amended to include the following:

The Second Amended Chapter 11 Plan of Reorganization of the Issuer and certain of the Issuer’s wholly-owned direct and indirect subsidiaries under Chapter 11 of Title 11 of the United States Code (the “Plan”) became effective on December 18, 2020 (the “Effective Date”). In connection with the effectiveness of the Plan, all previously issued and outstanding shares of Common Stock were extinguished.

Item 5. Interest in Securities of the Issuer.

Paragraphs (a), (b), (c) and (e) of the Schedule 13D are hereby deleted and replaced with the following:

(a-b) All percentages set forth in this Schedule 13D are based on zero outstanding shares of Common Stock as of the Effective Date. The information set forth in Rows 7-13 of each Cover Page of this Schedule 13D is hereby incorporated herein by reference.

None of the Reporting Persons beneficially own any other shares of Common Stock of the Issuer.

(e) Each of the Reporting Persons ceased to be the beneficial owner of more than five percent of the Common Stock as of December 18, 2020.
