The Reporting Person is the record holder of the reported securities. The Sponsor is managed by a board of managers comprised of James Huang, John Phelan and Robert Platek, who control the Sponsor. Notwithstanding the forgoing, this Statement shall not be deemed an admission of beneficial ownership by any of such managers.
