Item 7.01

Regulation FD Disclosure.

As previously disclosed in a Current Report on Form 8-K filed by the Company on February 5, 2024, beginning on February 4, 2024, Cano Health, Inc. (the “Company”) and certain of its direct and indirect subsidiaries (collectively, the “Debtors”) filed voluntary petitions (the “Chapter 11 Cases”) in the United States Bankruptcy Court for the District of Delaware (the “Bankruptcy Court”) seeking relief under Chapter 11 of Title 11 of the United States Code (the “Bankruptcy Code”). The Chapter 11 Cases are being jointly administered under Case No. 24-10164. The Debtors continue to operate their business and manage their properties as “debtors-in-possession” under the jurisdiction of the Bankruptcy Court and in accordance with the applicable provisions of the Bankruptcy Code and orders of the Bankruptcy Court. Additional information about the Chapter 11 Cases, including access to Bankruptcy Court documents, is available online at https://www.veritaglobal.net/CanoHealth, a website administered by Verita Global,¹ the Debtors’ Bankruptcy Court-approved third-party bankruptcy claims and noticing agent, and on the docket of the Chapter 11 Cases, which can be accessed via PACER at https://pacer.gov. Also, as previously disclosed, on May 21, 2024, the Debtors filed a Fourth Amended Joint Chapter 11 Plan of Reorganization of Cano Health, Inc. and its Affiliated Debtors (the “Plan”) and the related Disclosure Statement (the “Disclosure Statement”) with the Bankruptcy Court. Further, on May 21, 2024, the Bankruptcy Court entered an order approving the Disclosure Statement and establishing solicitation and voting procedures of the Plan. Capitalized terms used but not defined in this Current Report on Form 8-K have the meanings ascribed to them in the Plan.

On June 14, 2024, the Debtors filed a supplement to the Plan (the “Plan Supplement”) with the Bankruptcy Court. The Plan Supplement includes certain documents related to the Plan and referenced therein, including, among other things: the (i) forms of Senior Executive Employment Agreements, (ii) Management Incentive Plan Term Sheet, (iii) Governance Term Sheet, (iv) current form of Litigation Trust Agreement, (v) form of GUC Warrant Agreement, (vi) form of Exit Credit Agreement, and (vii) schedules of retained causes of action, rejected contracts, assumed contracts.

The documents included in the Plan Supplement are subject to change. Any further changes may be material and/or adverse to the Debtors as each of the documents contained in the Plan Supplement remain subject to ongoing review by, negotiations between, and the applicable consent and/or consultation rights of the Debtors, the statutory committee of unsecured creditors appointed by the U.S. Trustee in the Chapter 11 Cases pursuant to section 1102 of the Bankruptcy Code (the “Creditors’ Committee”), and that certain ad hoc group of holders of certain secured loans and senior notes (the Ad Hoc First Lien Group”) as set forth in the Plan, and all applicable rights of the Creditors’ Committee and the Ad Hoc First Lien Group are reserved. Accordingly, the documents included in the Plan Supplement remain subject to (i) further review, negotiations, and modifications and (ii) final documentation in a manner consistent with the Plan. The Debtors reserve all rights to amend, modify, or supplement the Plan Supplement, and any of the documents contained therein, in accordance with the terms of the Plan.
